These Terms and Conditions (“Terms”) govern your access to and use of Sidephone websites, products, and related services provided by Sidephone (“Sidephone,” “we,” “our,” or “us”).

By accessing our website, purchasing our products, or using Sidephone products or services, you agree to these Terms. If you do not agree, you may not use our products or services.


1. Scope of Terms

These Terms apply to:

  • Sidephone hardware devices and accessories

  • Purchases made through Sidephone websites

  • Related customer support services

  • Website use

Software applications or services provided by Sidephone may be governed by separate terms and privacy policies, which will control in the event of any conflict with these Terms.


2. Eligibility

You must be at least the age of majority in your jurisdiction to purchase or use Sidephone products.

By using our services, you represent that:

  • You have legal capacity to enter into these Terms

  • All information you provide is accurate

  • Your use complies with applicable laws


3. Orders and Acceptance

All orders are subject to acceptance by Sidephone.

We reserve the right to:

  • Refuse or cancel orders for any reason

  • Limit quantities

  • Correct pricing or listing errors

  • Cancel orders suspected of fraud or unauthorized activity

  • Request additional verification information

Order confirmation does not guarantee acceptance.


4. Pricing and Payment

Prices are subject to change without notice.

You authorize Sidephone and its payment processors to charge your selected payment method.

You represent that you have the legal right to use the payment method provided.

You remain responsible for any fees imposed by your payment provider.


5. Shipping, Delivery, and Risk of Loss

Delivery timelines are estimates only.

Sidephone is not responsible for delays caused by carriers, customs, supply chain disruptions, or events beyond our control.

Risk of loss and title transfer to you upon delivery of the product to the shipping carrier, unless otherwise required by law.


6. Returns, Cancellations, and Warranty

Purchases are governed by the following policies, which are incorporated by reference:

  • Sidephone Return Policy

  • Sidephone Order Cancellation Policy

  • Sidephone Limited Warranty Policy

In the event of a conflict between these Terms and those policies, the applicable policy will control for the subject matter it governs.


7. Product Use and Limitations

Sidephone products are consumer electronics devices.

You acknowledge and agree:

  • Compatibility with third-party carriers, networks, software, or services is not guaranteed

  • Network availability and performance are outside Sidephone’s control

  • Features may depend on third-party systems

  • Functionality may change through updates or service modifications

  • Internet connectivity may be required for certain features

Sidephone products are not intended for:

  • Safety-critical applications

  • Emergency-reliant communications

  • Medical or hazardous environments

You assume responsibility for how you use the product.


8. Software and Updates

Sidephone products may include software or firmware.

You agree that:

  • Software may update automatically

  • Updates may modify or remove features

  • Some functionality may require ongoing support services

  • Software may be discontinued

You are granted a limited, non-exclusive, non-transferable license to use embedded software solely with Sidephone products.


9. Third-Party Services and Dependencies

Sidephone products and services may interact with third-party providers, including:

  • Carriers and network operators

  • Application providers

  • Payment processors

  • Cloud or connectivity services

  • Accessories and integrations

Sidephone is not responsible for third-party services, performance, or policies.

Your use of third-party services is subject to their terms.


10. User Responsibilities and Acceptable Use

You agree not to:

  • Use products or services unlawfully

  • Interfere with Sidephone systems or networks

  • Circumvent safeguards or security measures

  • Engage in fraudulent or abusive behavior

  • Reverse engineer products beyond rights permitted by law

  • Use products for unauthorized commercial purposes

  • Violate intellectual property rights

Unauthorized modifications may affect functionality and warranty eligibility.


11. Accounts and Security

If you create an account:

  • You are responsible for maintaining confidentiality

  • You are responsible for activity under your account

  • You must notify us of unauthorized access

Sidephone is not liable for losses resulting from compromised credentials.


12. Electronic Communications

You consent to receive communications from Sidephone electronically, including:

  • Notices

  • Agreements

  • Disclosures

  • Support communications

Electronic communications satisfy legal requirements for written notice.


13. Intellectual Property

All Sidephone content, trademarks, designs, and materials are owned by Sidephone or its licensors.

You may not:

  • Copy

  • Modify

  • Distribute

  • Create derivative works

  • Exploit content

Without written permission.


14. Feedback

If you provide feedback or suggestions, you grant Sidephone a perpetual, irrevocable, royalty-free right to use that feedback without compensation or obligation.


15. Export Compliance

You agree to comply with all applicable export and sanctions laws.

You may not use or transfer Sidephone products in violation of export regulations.


16. Privacy

Your use of Sidephone products and services is subject to our Privacy Policy.

The Privacy Policy explains how we collect, use, and share information.


17. Suspension and Termination

Sidephone may suspend or terminate access to services or accounts if:

  • These Terms are violated

  • Fraud or abuse is suspected

  • Required by law

  • Necessary to protect Sidephone or others

Termination does not affect obligations incurred prior to termination.


18. Disclaimer of Warranties

Except as expressly provided in the Sidephone Limited Warranty Policy:

Products and services are provided “as is” and “as available.”

To the maximum extent permitted by law, Sidephone disclaims all implied warranties, including:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

Some jurisdictions do not allow limitations on implied warranties.


19. Limitation of Liability

To the maximum extent permitted by law:

Sidephone will not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of data

  • Loss of profits

  • Loss of use

  • Business interruption

  • Third-party service failures

Sidephone’s total liability will not exceed the amount you paid for the product giving rise to the claim.

Some jurisdictions do not allow certain limitations.


20. Indemnification

You agree to indemnify and hold harmless Sidephone and its affiliates from claims arising from:

  • Your misuse of products

  • Your violation of these Terms

  • Your violation of law

  • Your infringement of third-party rights


21. Force Majeure

Sidephone is not liable for delays or failures caused by events beyond our reasonable control, including:

  • Supply chain disruptions

  • Component shortages

  • Natural disasters

  • Labor disputes

  • Government actions

  • Transportation interruptions

  • Internet outages


22. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, except where mandatory law applies.


23. Limitation Period

To the extent permitted by law, any claim must be brought within one (1) year after it arises.


24. Changes to Terms

We may update these Terms periodically.

Changes apply to future purchases or uses after the effective date.

Continued use constitutes acceptance.


25. General Provisions

If any provision is found unenforceable, the remaining provisions remain in effect.

These Terms constitute the entire agreement regarding their subject matter.

Failure to enforce a provision does not waive our rights.
